1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and Groenpack Groothandel ("we," "our," or "us"), concerning your access to and use of the locoroll.nl website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing the Site, registering an account, or purchasing our premium products, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are prohibited from using the Site and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and its entire contents, including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and trademarks/logos (collectively, the "Content") are owned or controlled by us, and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited license to access and use the Site solely for your personal or B2B purchasing operations. Except as explicitly provided herein, no part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Accounts & Registration

To access certain features of the Site, including our B2B wholesale Partner Portal, you may be required to register an account. You agree to keep your password confidential and will be responsible for all use of your account and password.

We reserve the right to remove, reclaim, or change a username or disable your account if we determine, in our sole discretion, that such username is inappropriate, or if you violate any part of these Terms of Service.

4. Products, Orders & Pricing

We make every effort to display as accurately as possible the descriptions, specifications, colors, and pricing of our premium products (such as our tortillas and wraps) on the Site. However, all products are subject to availability, and we cannot guarantee that your device's screen displays colors or textures perfectly.

We reserve the right to limit the sales of our products to any person, geographic region, or jurisdiction. Prices for our products are subject to change without notice. We reserve the right to refuse any order placed on the Site.

5. B2B Wholesale Partner Terms

Wholesale and B2B purchases are subject to additional vetting and B2B-specific agreements. B2B partners must supply a valid VAT (BTW) number and Chamber of Commerce (KvK) registration.

Wholesale transactions are subject to minimum order quantities (MOQ) as defined in the partner portal. Credit limits, payment terms (such as net-30 days), and delivery terms will be specified upon account approval and are strictly binding.

6. Shipping, Title & Risk

Shipping rates and estimated delivery times are detailed during checkout and under our FAQ. Delivery dates are estimates only and are not guaranteed. Title and risk of loss pass to you upon delivery of the products to the carrier.

7. Returns & Cancellation Rights

Due to the perishable nature of our food products (tortillas, wraps, and related products), certain return exemptions apply:

• Perishable Goods: Under EU law, the standard 14-day cooling-off period does not apply to food items that can deteriorate or expire rapidly. Therefore, we do not accept returns of food products unless they are defective or damaged upon delivery.
• Defective/Damaged Items: If you receive defective, incorrect, or damaged goods, you must contact our customer service team within 24 hours of delivery at info@groenpack.nl with photographic evidence.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Groenpack Groothandel or its directors, employees, or partners be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, loss of data, or other damages arising from your use of the Site or our products.

9. Governing Law & Jurisdiction

These Terms of Service and your use of the Site and products are governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Almere, Netherlands.
